Terms and Conditions

By accessing or using the Factorypic platform ("Platform"), you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Platform. These terms apply to all visitors, registered buyers, and registered sellers.

Factorypic is a B2B marketplace that connects Indian manufacturers and wholesalers with business buyers across all product categories. We facilitate transactions but are not a party to the contract between buyers and sellers.

• You must be at least 18 years old and legally capable of entering into binding contracts.
• You must represent a registered business entity or be authorised to transact on behalf of one.
• You must provide accurate and complete information during registration.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at support@factorypic.com if you suspect unauthorised access.

• Sellers must list only products they are legally authorised to sell.
• Product descriptions, images, and pricing must be accurate and not misleading.
• Sellers are responsible for timely dispatch and fulfilment of confirmed orders.
• Sellers must comply with all applicable Indian laws, including GST regulations.

• Buyers must provide accurate shipping and billing information.
• Payment must be completed as per the checkout process.
• Buyers must inspect goods upon delivery and raise disputes within the stipulated window.

The following are strictly prohibited on the Platform:

• Listing counterfeit, illegal, or restricted goods.
• Manipulation of reviews or ratings.
• Circumventing the Platform's payment system to conduct off-platform transactions.
• Uploading malicious content or attempting to compromise Platform security.
• Impersonation of any person or entity.

All payments are processed through Razorpay. Factorypic does not store your card or bank details. GST is charged as per applicable rates on all transactions.

Platform fees applicable to sellers:

• Platform commission: 2% of the order value (introductory launch rate), plus GST at 18% on the commission amount.
• Payment gateway fees: the actual fee charged by the payment gateway, allocated proportionally to each seller's share of the order.
• Tax collected at source (TCS): 1% under Section 52 of the CGST Act, deposited against the seller's GSTIN as required by law.

All deductions are shown as separate, itemised line items on the seller's payout statement. There are no hidden charges.

Fee revisions: Factorypic may revise the commission rate, introduce category-specific rates, or introduce optional subscription plans with differentiated fees and features. Any fee change will be notified to sellers at least 30 days in advance through the platform and registered email. Continued use of the Platform after the effective date constitutes acceptance of the revised fees. Orders placed before the effective date are settled at the rate applicable when the order was placed.

• Payouts are computed when an order is placed and become eligible for settlement once the order is delivered to the buyer.
• Eligible payouts are settled to the seller's registered bank account within 7 days of delivery, aligned with the buyer's return window.
• Payouts may be placed on hold where an order is under dispute, return, or investigation, and are released once the matter is resolved.
• Each payout is accompanied by an itemised statement showing order value, commission, GST, gateway fees, and TCS.

Trust on the Platform is maintained through verification at three levels:

• Sellers: every seller undergoes GST and business-document verification and admin approval before their account is activated.
• Products: every listing is reviewed and approved by our moderation team before it appears in the catalog.
• Orders: every order is paid through the Platform's payment system, with payment confirmation, shipment tracking, and delivery confirmation recorded end-to-end.

Verification does not constitute a guarantee or warranty of goods; it confirms identity, documentation, and listing review as described above.

All content on the Platform, including logos, design, and software, is owned by Factorypic or its licensors. You may not reproduce, distribute, or create derivative works without prior written consent.

Factorypic acts as an intermediary marketplace. We are not liable for the quality, safety, or legality of goods listed. Our aggregate liability to you for any claim shall not exceed the transaction value of the order giving rise to the claim.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Delhi, India.

We may update these Terms from time to time. Continued use of the Platform after changes constitutes your acceptance of the updated Terms.

In accordance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, complaints may be addressed to our Grievance Officer at grievance@factorypic.com. Complaints are acknowledged within 48 hours and resolved within one month of receipt.
